Affiliate Program Terms & Conditions

These terms govern participation in the PlotForge™ Affiliate Program. By applying to, being accepted into, or participating in the program, you ("Affiliate," "you") agree to these terms. The program is operated by Forge IP Holdings LLC ("Forge IP Holdings," "we," "us"), the owner of PlotForge™.

1. The Program

The PlotForge™ Affiliate Program lets approved Affiliates earn commissions for referring new paying subscribers to PlotForge using a unique tracking link or code we provide. Commissions are paid only on qualifying paid subscriptions as described below. Referral tracking, dashboards, and commission accounting are administered through a third-party affiliate-management platform connected to our payment processor.

2. Enrollment and Approval

Participation is by application and approval. We may accept or reject any applicant for any reason, at our sole discretion, and may suspend or remove any Affiliate at any time. You must provide accurate, current contact and tax information and keep it up to date. You must be of legal age and legally able to enter into this agreement. Affiliate accounts are personal to the approved Affiliate and may not be transferred or shared.

3. What Earns a Commission

Commissions are earned on two things: (a) recurring PlotForge subscription plans (Contractor, Contractor Pro, Firm, Firm Pro, and any future subscription tier), at the tiered rates in Section 4; and (b) a referred Pay-As-You-Go done-for-you order ($149), at a flat one-time rate in Section 4. Commissions are not paid on:

A referral qualifies only when the referred customer reaches PlotForge through your tracking link or code within the attribution window (Section 8), creates a new paying subscription or a Pay-As-You-Go order, and the payment is successfully collected and not refunded or charged back.

4. Commission Rates

Commission is calculated as a percentage of the revenue actually received by us (net of refunds, chargebacks, taxes, and processing fees) for each referred customer or order. Because commission is a percentage of revenue received, if pricing changes, the commission amount changes accordingly.

Pay-As-You-Go done-for-you orders (one-time)

A referred Pay-As-You-Go done-for-you order ($149) earns a flat 20% one-time commission on the amount we collect. This is a single commission per order — it is not recurring, and the tier and residual rules below do not apply to it. The self-serve one-time packs (Single Plan, $29; Starter Pack, $49; Job Pack, $144) are not commissionable.

Your volume tier is based on the number of currently active referred subscriptions and is evaluated by us periodically. A higher tier applies going forward to commissions earned after you reach it; it is not applied retroactively to commissions already earned. We do not reduce a previously reached tier solely because of a temporary dip; however, all tiers remain subject to Section 6 (activity) and Section 10 (changes).

After a referred customer's first 12 months, you continue to earn an ongoing residual commission for as long as that customer maintains an active, paid subscription, at the rate set by your Active or Inactive status (Section 6).

5. Commission Is Paid Only on Active, Paid Subscriptions

Commission accrues only for billing periods in which the referred customer's subscription is active and the subscription payment is successfully collected. If a referred subscription is canceled, expires, or is otherwise no longer active, all commission on that customer stops at every rate tier, effective with the first unpaid or post-cancellation period. If a payment fails or a subscription becomes past-due, no commission accrues for that period; if the payment is later recovered, commission resumes for periods actually paid.

No reattachment. If a referred subscription is canceled, the referral relationship for that customer ends permanently. A later re-subscription by the same customer does not re-establish commission eligibility for you, regardless of whether the customer returns through your link.

6. Active vs. Inactive Status

Your ongoing residual rate (Section 4) depends on your activity:

Status is evaluated periodically. Status can change in either direction: an Inactive Affiliate who refers at least one new qualifying subscription within the preceding 90 days will be eligible to return to Active status, and the 20% residual rate resumes going forward. Activity status affects the ongoing residual rate only (month 13 onward); it does not affect the first-12-month rate of a customer already in their first year.

7. Commission Approval, Hold Period, and Payout

Every commission is subject to a 45-day hold to allow refund and chargeback windows to pass:

Approved commissions are paid on a monthly payout cycle through our affiliate-management platform's payout provider, subject to a $50 minimum payout threshold. Balances below $50 roll forward and are paid once the threshold is met. You are responsible for providing valid payout details and for any taxes on commissions you receive. For U.S. Affiliates, applicable tax forms (e.g., W-9) and reporting (e.g., 1099) are handled through the platform's payout provider where required.

8. Attribution

Referrals are tracked on a last-click basis with a 90-day cookie window. If a referred visitor subscribes within 90 days of clicking your tracking link, the referral is credited to you, subject to these terms. If multiple Affiliates referred the same customer, the most recent qualifying referral within the window receives credit. We rely on our affiliate-management platform's tracking; we are not responsible for referrals not recorded due to a customer's browser settings, cookie blocking, ad blockers, device changes, or other factors outside our control.

9. Prohibited Conduct

The following are prohibited and may result in immediate termination and forfeiture of unpaid commissions (Section 11):

You must clearly and conspicuously disclose your affiliate relationship wherever you promote PlotForge, as required by the FTC's endorsement guidelines and applicable law.

10. Changes to the Program and These Terms

We may change this program at any time. We may modify, suspend, or discontinue the program, and may change commission rates, tiers, thresholds, hold periods, attribution rules, and any other term, at our sole discretion, with at least 30 days' notice (by email to your registered address or by posting an updated version here).

Rate and term changes take effect prospectively: commissions already earned and approved before the effective date of a change are honored, but changes apply to all commissions earned on or after that date, including commissions on customers you referred before the change. Continued participation after a change takes effect constitutes acceptance of the revised terms.

11. Termination

Either party may end participation at any time. We may suspend or terminate your participation with notice; in that case, commissions earned and approved through the termination date are paid in the normal payout cycle, subject to the hold period, minimum threshold, and clawback rules. We may terminate immediately and without notice, and forfeit any unpaid commissions, for any violation of Section 9 (Prohibited Conduct), fraud, or any conduct we reasonably determine to be harmful, deceptive, or unlawful. On termination, your right to use our links, codes, trademarks, and promotional materials ends immediately.

12. Assignment; Sale of the Business

We may assign or transfer this agreement and the program, in whole or in part, including in connection with a merger, acquisition, reorganization, or sale of PlotForge or of Forge IP Holdings LLC or its assets. Any successor or acquirer may modify, continue, or discontinue the program and these terms. You may not assign or transfer your participation or your Affiliate account without our prior written consent.

13. Relationship of the Parties

You are an independent contractor. Nothing in this agreement creates an employment, partnership, joint-venture, franchise, or agency relationship. You have no authority to bind Forge IP Holdings or to make representations on its behalf. You are responsible for your own expenses, taxes, and compliance with all laws applicable to your promotional activity.

14. Trademarks and Promotional Materials

We grant you a limited, revocable, non-exclusive, non-transferable license to use the PlotForge™ name and the promotional materials we provide, solely to promote PlotForge under this agreement and in accordance with any brand guidelines we issue. All goodwill from your use inures to Forge IP Holdings. You may not alter our marks or materials or use them in any manner not expressly authorized. This license ends automatically on termination.

15. No Warranty; Limitation of Liability

The program and the affiliate-management platform are provided "as is." We do not guarantee any level of earnings, traffic, conversions, or program continuity. TO THE MAXIMUM EXTENT PERMITTED BY LAW, FORGE IP HOLDINGS LLC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS OR LOST COMMISSIONS, ARISING FROM OR RELATED TO THE PROGRAM. OUR TOTAL AGGREGATE LIABILITY SHALL NOT EXCEED THE TOTAL COMMISSIONS PAID OR PAYABLE TO YOU IN THE THREE (3) MONTHS PRECEDING THE CLAIM.

16. Indemnification

You agree to indemnify and hold harmless Forge IP Holdings LLC from any claims, losses, or expenses arising out of your promotional activities, your violation of these terms, your violation of any law, or your violation of any third party's rights.

17. Governing Law

These terms are governed by the laws of the State of Missouri, without regard to conflict-of-law rules. Exclusive venue for disputes is the state or federal courts located in Missouri.

18. Entire Agreement

These terms, together with any brand guidelines and the terms of the affiliate-management platform, are the entire agreement between you and Forge IP Holdings regarding the program and supersede any prior understanding. If any provision is held unenforceable, the remaining provisions stay in effect. Our failure to enforce any provision is not a waiver of it.
